Welcome to Simulive. By accessing or using our platform at simulive.us ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and Simulive. We reserve the right to update these Terms at any time, and your continued use of the Service following any changes indicates your acceptance of the updated Terms.

To use certain features of our Service, you must register for an account. You must be at least 13 years old to create an account. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not create an account using false information or on behalf of someone else without authorization. We reserve the right to refuse service or terminate accounts that violate these Terms.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any part of the Service or related systems
• Interfere with or disrupt the security, integrity, or performance of the Service
• Transmit viruses, malware, or any other malicious code
• Use automated systems (bots, scrapers) to access the Service without permission
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Harass, abuse, or harm other users of the Service
• Collect or store personal information about other users without their consent
• Use the Service for any commercial purpose without our express written consent

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Simulive, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use. This license does not include any right to:

• Reproduce, distribute, modify, or create derivative works from our content
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any copyright, trademark, or other proprietary notices
• Use our trademarks, logos, or brand elements without written permission

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to provide the User Content
• Your User Content does not violate any third-party rights or applicable laws
• Your User Content does not contain viruses, malware, or harmful code

We reserve the right to remove any User Content that violates these Terms or that we find objectionable in our sole discretion.

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will always be available, uninterrupted, or error-free. We may experience hardware, software, or other issues that could lead to downtime, delays, or errors.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Impose limits on certain features or restrict access to parts of the Service
• Perform maintenance and updates without prior notice

We will not be liable for any modification, suspension, or discontinuation of the Service.

Our Service may contain links to third-party websites or services that are not owned or controlled by Simulive. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

SimuHost is an optional AI co-host feature that you may enable for a runbook. It requires you to connect your own account and API key with an independent AI provider such as OpenAI, Anthropic, Google, or another provider we support ("AI Provider"). This section governs your use of SimuHost and applies in addition to the rest of these Terms.

By adding an AI Provider key to your account, you represent and warrant that:

• You own the key or are otherwise authorized to use it and to have Simulive submit requests on your behalf using it
• Your use of the key through SimuHost complies with the AI Provider's own terms of service, acceptable use policy, and applicable law
• You are solely responsible for all fees, usage charges, and rate limits billed by your AI Provider in connection with your use of SimuHost. These charges are between you and your AI Provider and are separate from, and not included in, any fees you pay to Simulive

Your relationship with each AI Provider is independent of your relationship with us. We do not control, operate, or stand behind any AI Provider's models, and we make no representation or warranty regarding the availability, accuracy, appropriateness, or content of any output SimuHost generates using your key. Replies generated by SimuHost may be incorrect, incomplete, or unsuitable for a given audience, and you are responsible for reviewing your AI Brain setup, testing it, and monitoring SimuHost's replies during your event.

Any skills, guardrails, transcripts, or other content you upload or connect for use with SimuHost is your User Content under Section 5 above, and the representations and license in that section apply to it. A guardrail you configure is a best-effort filter on generated replies and is not a guarantee that a particular word, phrase, or topic will never appear.

You may remove an AI Provider key from your account at any time, which stops SimuHost from being able to use it. We may suspend or disable SimuHost for your account, with or without notice, if we reasonably believe your use of it violates these Terms, your AI Provider's terms, or applicable law, or if continuing to route requests on your behalf would expose Simulive or another user to risk.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Simulive, its affiliates, and its licensors do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements

Your use of the Service is at your sole risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SimuLive LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of one hundred dollars ($100) or the amount you paid us, if any, in the past twelve months.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Simulive, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your User Content
• Your violation of any rights of another party

You may terminate your account at any time by discontinuing use of the Service and contacting us to request account deletion.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• At our sole discretion for any reason

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date. We may also provide additional notice, such as sending an email notification.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

Entire Agreement: These Terms constitute the entire agreement between you and Simulive regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
